Terms of use
This page is a draft under legal review. It describes how ProCadence works today; the wording may change before it's final.
These terms
These terms cover using ProCadence: the public pages, accounts in the client portal, and the vendor bid portal. ProCadence is provided by BlackTree LLC (11000 W McNichols Rd, Suite 323-1252, Detroit, MI 48221). Consulting services are covered separately, by a written service agreement and letter of agency signed by the organization; where those apply, they take precedence.
Accounts
- Accounts are for staff of organizations eligible for E-Rate, and for the people they invite. By creating one, you confirm you work for the organization named on it.
- Keep your sign-in to yourself. Each person signs in as themselves; an organization's administrators decide who is on its team and can remove access.
- A person who can sign for the organization may accept agreements in the portal for it. Nothing binds the organization until such a person signs.
Accounts without a service agreement
An organization can use an account without engaging BlackTree. Until a service agreement is signed, BlackTree is not the organization's consultant and acts for it in nothing; the account shows the organization's own information and USAC's public data.
Information, not a guarantee
ProCadence explains the E-Rate program, shows dates and checks records against program rules, with the sources it relies on. That information helps you decide; it isn't legal advice, and it can't guarantee compliance or funding. USAC and the FCC decide all E-Rate funding, and under USAC's rules the applicant remains responsible for what it certifies. USAC's public data can be incomplete or out of date; check anything that matters.
Using the service properly
- Give accurate information, and only information you're entitled to share.
- Don't try to reach another organization's records, get around sign-in or security, or overload or copy the service by automated means.
- Vendors: submit bids honestly and only for requests you received a link to; don't contact an applicant's staff about a request outside the channels it names.
We may suspend access that breaks these terms or puts the service or other people's records at risk.
Your records
Your organization's records stay its own. We use them only to provide the service and as the Privacy Policy describes. You can ask for a copy at any time, and the program's record-keeping duties remain the organization's own.
Availability and reminders
We work to keep the service available and back it up nightly, but it may sometimes be unavailable for maintenance or reasons outside our control. Dates and reminders come from USAC's published rules and data; they are not USAC notices, and a reminder that doesn't arrive doesn't move a deadline.
For an organization with a service agreement, BlackTree tracks its program deadlines as that agreement says, and the organization certifies its forms on time. Without one, keeping track of deadlines is the organization's own.
Limits
The service is provided as it is. To the extent the law allows, BlackTree LLC (11000 W McNichols Rd, Suite 323-1252, Detroit, MI 48221) is not liable for indirect or consequential losses from using it, and its total liability for an account without a service agreement is limited to $100. A signed service agreement sets its own terms.
Changes and contact
If these terms change, the new version is posted here with its date, and account holders are told by email before a significant change takes effect. These terms are governed by the laws of the State of Michigan. Questions: info@procadence.net.
